Suitestems is a software-enabled document filing and compliance support service. We may help coordinate business formation filings, registered agent service, business addresses and leases, compliance reminders, digital identity services, business credit reporting, payroll tools, administrative support, and applications for services offered by third parties.

Service descriptions, availability, eligibility requirements, estimated completion times, and fees may vary. Government agencies and independent providers control their own review standards and processing times. Suitestems cannot guarantee that a filing, application, bank account, credit product, tax result, or other requested outcome will be approved or completed by a particular date.

Suitestems is not a law firm, government agency, accounting firm, financial institution, or professional advisory organization. We do not provide legal, tax, accounting, investment, or financial advice, and no information or service should be understood as such advice.

Using our website or services does not create an attorney-client, accountant-client, advisor-client, or fiduciary relationship. Information and materials are general in nature and are not a substitute for advice from a licensed professional who has reviewed your circumstances. You remain responsible for choosing your business structure, meeting filing and tax obligations, and determining whether a service is appropriate for you.

Suitestems may provide administrative support or technology that helps customers apply for business banking services. Banking services are provided exclusively by independent regulated partner banks, Members FDIC, and may be supported by separate financial technology providers. Suitestems is not a bank, does not provide banking services, and does not hold, receive, transmit, or manage customer funds.

Account approval, underwriting, deposit insurance eligibility and limits, fees, and account terms are determined by the applicable bank and its agreements. FDIC deposit insurance applies only to eligible deposits held by an insured partner bank, subject to applicable limits and conditions; it does not insure Suitestems products or services. We do not guarantee account approval or continued availability.

You must be at least 18 years old and legally able to enter a binding agreement.

You agree to provide complete, current, and accurate information and documents. You authorize Suitestems and relevant providers to use that information to perform the requested services, including identity verification, fraud prevention, sanctions screening, know-your-customer review, and other legally required checks. Inaccurate, incomplete, or late information may cause delays, rejection, additional fees, or termination of service. You are responsible for reviewing documents and filings for accuracy before approval or submission.

Prices and included services are those presented when an order is accepted, plus any disclosed government, third-party, shipping, tax, or processing fees. Recurring services continue for the stated billing period until canceled according to the applicable order terms. We may update future renewal pricing after reasonable notice.

Filing, setup, professional, government, and third-party fees may become nonrefundable once work begins or payment is sent to another provider. Any cancellation or refund rights stated in a service-specific order control over this general provision. Failure to pay may result in suspension or termination.

We may coordinate services delivered by government agencies, registered agents, financial institutions, financial technology companies, payment processors, credit bureaus, telecommunications providers, accountants, attorneys, virtual assistants, and other independent providers. Those providers operate under their own terms and privacy policies. Suitestems is not responsible for their independent decisions, outages, delays, errors, or acts, except to the extent required by law.

You may not use the website, an address, or any service to:

• violate any law, regulation, sanctions rule, or third-party right;
• submit false, misleading, fraudulent, or unauthorized information;
• facilitate fraud, money laundering, deceptive practices, or unlawful activity;
• interfere with security, access controls, networks, or other customers;
• scrape, copy, reverse engineer, resell, or misuse our systems or content; or
• send or receive prohibited, dangerous, illegal, or unsolicited items.

We may refuse, suspend, or terminate services, return or dispose of unauthorized items where permitted, and report suspected unlawful activity when reasonably necessary.

The website, software, trademarks, designs, text, graphics, and other materials provided by Suitestems are owned by Suitestems or its licensors and are protected by applicable law. We grant you a limited, revocable, nonexclusive right to use them only to access the services for your internal business purposes. No other rights are transferred.

To the fullest extent permitted by law, the website, content, and services are provided “as is” and “as available.” Suitestems disclaims all express and implied warranties, including merchantability, fitness for a particular purpose, title, noninfringement, uninterrupted availability, accuracy, and results. Nothing on the website is a promise of legal status, tax savings, financing, credit improvement, profitability, or any other outcome. Some jurisdictions do not permit certain exclusions, so portions of this section may not apply to you.

To the fullest extent permitted by law, Suitestems and its officers, employees, contractors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, business opportunity, goodwill, or data arising from the website or services. Our aggregate liability for any claim will not exceed the amount you paid Suitestems for the service giving rise to the claim during the six months before the event. These limits do not apply where prohibited by law.

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Suitestems and its officers, employees, contractors, and partners from claims, losses, liabilities, and reasonable costs arising from information you provide, your unlawful or unauthorized use of the services, your violation of these Terms, or your violation of another person’s rights.

We may modify the website, service availability, or these Terms. Material changes will be communicated where required by law and become effective on the stated date. We may suspend or terminate access when necessary to protect customers, comply with law, address nonpayment, prevent misuse, or respond to circumstances outside our reasonable control. Provisions that by their nature should survive termination will remain in effect.

These Terms and any service-specific order form the entire agreement concerning the applicable services. If a provision is unenforceable, it will be limited or removed only as necessary, and the remaining provisions will remain effective. Our failure to enforce a provision is not a waiver. You may not assign your rights without our written consent; Suitestems may assign these Terms as part of a merger, reorganization, sale, or transfer of its business. Applicable law and a court with proper jurisdiction will govern any dispute unless a service-specific agreement states otherwise.
